FleetSafe.AI Terms and Conditions

These Terms may be updated by FleetSafe.AI from time to time. The latest version is always available at: https://fleetsafe.ai/terms-and-conditions/
FleetSafe.AI provides Fleet safety hardware, software platforms and data subscription services. All orders for Products and Services are accepted solely on the basis of the conditions set out below.
Your completed Order, together with these Terms (including the policies and agreements referenced), form the full agreement. In any conflict, the details in Your Order prevail. No standard terms supplied by You bind FleetSafe.AI.
Section 1 – Definitions

| Collected Data | All Vehicle Data, Camera Data and usage information (aggregated or not). |
| Confidential Information | Any non-public business, technical or customer information disclosed under this agreement. |
| Connected Product | Any hardware fitted with or linked to a SIM that sends data to the FleetSafe Platform. |
| Data Protection Legislation | UK GDPR, Data Protection Act 2018 and related rules. |

| Excluded Circumstances | Tampering, misuse, third-party installation errors, power issues, network outages or Force Majeure. |

| Fleetlive / Fusion Platform | The software, apps and portal |
| Force Majeure Event | Any event beyond reasonable control (flood, war, pandemic, government action, strikes etc.). |
| Group | FleetSafe.AI and any subsidiary or holding company. |
| Intellectual Property Rights | Patents, copyright, trademarks, database rights, know-how and all similar rights worldwide. |
| Live Subscription | An active subscription for a Connected Product. |
| Location Data | Precise vehicle position recorded by the Product. |
| Normal Business Hours | 09:00–17:00 UK time, Monday to Friday (Business Days). |
Section 2 – General Provisions
- Limitation of liability and dispute resolution
Nothing limits liability for death/personal injury, fraud or wilful misconduct. Our total liability is capped at the lower of £250,000 or 100% of the Fees paid for the relevant Service in the prior 12 months. We are not liable for indirect losses, lost profits or consequential damage. Disputes must be notified in writing; the parties will attempt resolution, escalating to Managing Directors, then to the English courts if needed. - Termination
We may end the agreement immediately if You fail to pay undisputed sums (after 21 days’ notice), commit an irremediable material breach, repeatedly breach the Terms, become insolvent, cease trading, undergo a change of control or if performance becomes unlawful. - Consequences of termination
All outstanding payments become due immediately. Both parties must return property and Confidential Information and delete it from systems. Clauses on liability, confidentiality, data protection and intellectual property survive. - Confidentiality
Each party must keep the other’s Confidential Information secret and use it only for this agreement. Disclosure is allowed only to regulators, insurers, advisers or Group companies as strictly necessary or where required by law. - Data Protection
Both parties comply with Data Protection Legislation and act as Controllers of their own data. We process data only to deliver Services, improve products or (in anonymised aggregated form) for broader platform development. You must ensure drivers receive Our privacy policy. Processor obligations, breach notification and international transfer safeguards apply where relevant. We may combine anonymised data across customers. - Intellectual Property Rights
All Collected Data and rights in it belong to FleetSafe.AI on creation. You assign any rights You or Your staff may have in Footage to Us and must perfect that assignment. We grant You a limited internal-use licence only. We own all rights in the FleetSafe Platform and warrant the Products do not infringe third-party IP. - Restrictions
You may not copy, modify, reverse-engineer, build competing services, resell or allow unauthorised access to the Platform or Products (except as permitted by law or these Terms). You must prevent unauthorised use and notify Us immediately if it occurs. - FleetSafe.AI’s obligations
We warrant Products meet the Order specifications, are free of liens and comply with safety laws. We will supply Services, maintain licences, provide data support and hold suitable insurance. - Your obligations
You must cooperate, pay on time, supply accurate information and give Us access to Vehicles and premises for installation. If Your acts delay Us, We are still entitled to payment and may recover extra costs. - Orders, Fees and Payment
Orders must be signed and sent to orders@FleetSafe.AI. Payment is due within 30 days (or by direct debit for subscriptions). Prices are in GBP, exclusive of VAT. Late payment incurs 5% above Bank of England base rate interest plus £35 admin fees. Fees may rise annually by RPI + 3.5%. - Price and Fee Changes
Quotes are valid 30 days. We may adjust for specification issues, Your changes or external cost increases. International Orders are priced individually. - International Orders
Contact Us first. You handle import licences and duties. Deliveries outside the UK are ex-works (Incoterms 2010). Installation Services are UK-only unless agreed. - Product and Services Specification
We may update specifications to meet laws, add enhancements or improve security. Equivalent substitutions are allowed. - Miscellaneous
Force Majeure excuses performance. Assignment requires consent (except We may use Authorised Installers or assign within Our Group). English law applies; notices must be in writing. Standard waiver, severance and no third-party rights clauses apply.
Section 3 – Product Terms
- Product Warranty
All Products (excluding Storage) carry a 24-month return-to-base warranty covering defects in materials, workmanship and software (excluding misuse or non-FleetSafe.AI installation).You pay postage; We may charge for no-fault visits or out-of-warranty work. - Delivery, Title and Risk
You pay delivery costs (itemised). Risk passes on delivery (or installation if selected). Title remains with Us until full payment. - Installation Services
We use only trained Authorised Installers. You must provide safe access, 3 Business Days’ cancellation notice and pay any missed-appointment fees. - Cancellation of Installation Appointments
100% fees apply for short-notice cancellation or if the Vehicle is unavailable/unsafe.
Section 4 – Subscription and Software Terms
- Suspension
We may suspend access without liability for non-payment, breach of Fair Use Policy, prohibited content or Customer default. - Commencement and Term
Subscriptions start on dispatch or Automatic Commencement Date. They roll automatically after the Initial Period unless 30 days’ notice is given. - Subscription Services
Each subscription covers one Device and includes connection, data transmission, storage, Platform access and support. - FleetSafe Platform We make the Platform available 24/7 except planned maintenance (10pm–5am) or notified unscheduled work. Standard support is provided during Normal Business Hours.
- Use of the Platform We grant a non-exclusive licence for internal business use only. Users must accept the EULA and keep passwords secure. Strict acceptable-use rules apply (no viruses, unlawful content etc.).
- Data Services and Sim Cards
We supply registered SIMs. You must follow the Fair Use Policy. Coverage is not guaranteed; You indemnify Us for unlawful data use or SIM misuse. Future EU roaming charges may be passed on or lead to suspension/termination. - Bring Your Own Technology (BYOT)
You may connect compatible third-party systems. We provide connection settings and minimum supported features but no hardware warranty, installation or third-party support. You handle all maintenance, firmware and data services. Trials convert automatically; We are not liable for third-party dependencies.
